Job Description

This is a Corporate Paralegal role where the client wants someone who can hit the ground running with minimal training. The ideal candidate has hands-on experience supporting corporate transactions, entity management, and corporate governance activities.

Key Priorities

  • Entity formations and corporate maintenance (corporations and LLCs)
  • Corporate transactional experience including mergers, acquisitions, conversions, dissolutions, and closing support
  • M&A experience strongly preferred
  • Finance/secured transactions experience is a plus (UCC filings, lien searches, closing documentation)

Core Responsibilities

  • Manage entity formations, foreign qualifications, name changes, conversions, mergers, acquisitions, and dissolutions.
  • Draft and maintain board resolutions, stockholder consents, meeting minutes, and other governance documents.
  • Maintain corporate records and prepare annual reports.
  • Administer stock issuances, transfers, option exercises, stock certificates, and capitalization tables through Carta.
  • Support transactions from due diligence through closing, including:
    • Signature page management
    • Closing checklists
    • Closing binders
    • Post-closing activities
  • Conduct Blue Sky and securities law research and prepare related filings.
  • Prepare SEC-related filings and audit letter responses.
  • Handle UCC filings and lien searches.
  • Assist with corporate governance, compliance, and due diligence reviews.

Required Qualifications

  • Bachelor's degree.
  • Minimum 2+ years of corporate transactional experience as a Corporate Paralegal.
  • Strong knowledge of:
    • Corporation and LLC formations
    • Delaware and California corporate laws
    • Federal and state securities laws
  • Experience with FBNs, Apostilles, EINs, and business licensing processes.
  • Strong legal research, organization, and attention to detail.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Strong written and verbal communication skills.
  • Proficiency in Microsoft Word, Excel, Adobe, and document management systems.
